LTK 2023 CREATOR AWARDS TRADE CONTEST

You have not yet won.

OPEN ONLY TO ELIGIBLE LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE AT LEAST 18 YEARS OF AGE (19 IN ALABAMA AND NEBRASKA) OR OLDER AS OF THE DATE OF ENTRY.

By entering this LTK 2023 Creator Awards Trade Contest (the “Contest”), entrants accept and agree to be bound by these Official Rules. Any violation of these rules may result in disqualification. All decisions by rewardStyle, Inc. d/b/a LTK (the “Sponsor”) regarding the Contest are final and binding in all respects.

1. CONTEST PERIOD. The Contest begins June 8, 2023, at 12:00 am CT and ends October 3, 2023, at 11:59pm CT (“Contest Period”). All entries must be submitted prior to the expiration of the Contest Period.  Sponsor’s computer is the official time keeping device for the Contest.

2. ELIGIBILITY. The Contest is only open to individual, legal residents of the Fifty (50) United States and the District of Columbia (except those residing in Puerto Rico, the US Virgin Islands and other US territories and possessions and military installations), who (a) are 18 years of age (19 in Alabama and Nebraska) or older as of the date of entry and (b) are an approved LTK Creator who is notified directly by LTK of their nomination for an Award, except the Contest is not open to the officers, directors, members, affiliates and employees of Sponsor, or any other party associated with the development or administration of this Contest, and the immediate family (i.e., parents, children, siblings, spouse), and persons residing in the same household as such individuals. Void where prohibited. The Contest is subject to all applicable state and federal laws and regulations.
3. HOW TO ENTER.  In order to participate, during the Contest Period, each eligible individual (“you”):

1. Must become a finalist by Customer judging: “Customer Judging and Voting Period” is September 4 – September 15, 2023.
2. To qualify as a “Customer Vote” each shopper who wishes to vote for you must favorite 5 or more of your posts or products in the LTK app. One Customer Vote per Creator follower per eligible participant in the Contest. Whichever nominated creators are within the top 3 of most customer votes (highest number of shoppers who have favorited at least 5 products or posts), will become Finalists in their category (Fashion, Beauty, Home, Family, Wellness) and vertical (LTK All Star and LTK Rising Star), for a total of thirty (30) Finalists.

REMEMBER: 1 Unique Customer Vote = 5+ favorites of your products by a single shopper.

Customers shall be directed to vote based on skill evidenced by the Finalist Content Judging Criteria (weighted equally):

• Buzzworthy, Trendy, Shareworthy 
• Quality of Content
• Product Presentation
• Creativity and Originality
• Proper linking and tagging of products in content 
• Content Diversity Characteristics
• Age, Race, Gender, Vertical, Size, Demographic, Lifestyle 

To qualify, content CANNOT include:

• brand-created images;

• collages;

• imagery on a white background; or

• screenshots of products.

1. Must be selected by expert LTK expert panel of judges based on skill evidenced by the Winning Judging Criteria: A panel of expert LTK judges will judge the entries based on the following judging criteria (weighted equally) and select Winners in each category and vertical from the Finalists, for a total of ten (10) Winners.

• Buzzworthy, Trendy, Shareworthy 
• Quality of Content
• Product Presentation
• Creativity and Originality
• Proper linking and tagging of products in content 
• Content Diversity Characteristics
• Age, Race, Gender, Vertical, Size, Demographic, Lifestyle

4. 4. WINNER SELECTION AND NOTIFICATION.  Each potential winner will be notified at 9:00pm CT by email on October 3, 2023 following the in-person final Creator Awards ceremony at LTKCon. If a potential winner is not present or does not appear and respond to LTK when Sponsor tries to notify them or confirm presence to accept the award in person, the winner will still be announced during the final award’s ceremony on stage, with a photo displayed of the winner, and then notified via email following the ceremony they were a “Winner.”  

However, if the potential “Winner” does not fulfill all requirements to win per these official rules, such potential winner forfeits all rights to win the Contest or receive the prize, and an alternate potential winner may be selected. Upon determining that she has met all eligibility requirements of the Contest, including without limitation the execution of any required waivers, publicity and liability releases and disclaimers, such individual will be declared a “Winner” of the Contest. 

All awards at the LTK Awards ceremony will be temporarily issued to the “Winners” present on stage. All LTK Awards will then be engraved with “Winner’s” Name and issued by mail with a confirmed mailing address within 30 days of the event, on or before October 31, 2023.

If the “Winner” of the Contest is not in person at the final awards ceremony, the LTK Award will be engraved with the Winner’s Name and issued by mail with a confirmed mailing address within 30 days of the event, on or before October 31, 2023.

If a potential winner is deemed to be a minor or otherwise is ineligible under the jurisdiction of his/her residence, the prize will be awarded in the name of his/her parent or legal guardian who must execute the necessary affidavit and release.

5. 5. PRIZE DESCRIPTION. Each Winner will receive One (1) LTK Award. The details of each prize are set forth below:

6. TAXES.  All federal, state and/or local income and other taxes, if any, are the sole responsibility of Winner.

7. ODDS OF WINNING. THE ODDS OF WINNING THE PRIZE FOR THIS CONTEST ARE AS FOLLOWS:

8. NO PRIZE TRANSFER OR SUBSTITUTION. No prize or any portion thereof is transferable or redeemable for cash. Any portion of the prize that is not used is forfeited.  No substitutions for prize except by Sponsor.

9. CONSENT AND RELEASE.  By entering the Contest, each entrant releases and discharges the Sponsor and any other party associated with the development or administration of this Contest, their parent, subsidiary, and affiliated entities, and each of their respective officers, directors, members, shareholders, employees, independent contractors, agents, representatives, successors and assigns (collectively, “Sponsor Entities”) from any and all liability whatsoever in connection with this Contest, including without limitation legal claims, costs, injuries, losses or damages, demands or actions of any kind  (including  without  limitation  personal  injuries,  death,  damage  to,  loss  or destruction or property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”).  Except where prohibited: (i) acceptance of a prize constitutes the consent of any Winner, without further compensation, to use the entry, name, and likeness of such Winner for editorial, advertising and publicity purposes by the Sponsor and/or others authorized by the Sponsor; (ii) acceptance of a prize constitutes a release by any Winner of the Sponsor Entities of any and all Claims in connection with the administration of this Contest and the use, misuse, or possession of any prize; (iii) any potential winner may be required to sign an affidavit of eligibility (including social security number) and a liability/publicity release; and (iv) if prize involves travel or activities, any potential winner and travel companion (if applicable) may be required to execute releases of the Sponsor from any and all liability with respect to participation in such travel/activities and/or use of the prize.  Affidavits and releases must be returned within five (5) days from the date that Sponsor first tries to notify the potential winner.  If a potential winner is deemed to be a minor under the jurisdiction of his/her residence, the prize will be awarded in the name of his/her parent or legal guardian who must execute the necessary affidavit and release and, if applicable, must accompany Winner on the trip (no additional travel expenses will be awarded should a parent or legal guardian be required to accompany Winner on the trip).

10. DISCLAIMERS. (i) Entries that are lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason, will not be eligible.  (ii) Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the Contest, who is acting in violation of the Official Rules, or who is acting with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person.  (iii) Sponsor further reserves the right to cancel, terminate or modify the Contest if it is not capable of completion as planned, including by reason of tampering, undermining the legitimate operation of the Contest by cheating, hacking, deception or any other unfair practices or force majeure.  (iv) Sponsor Entities are not responsible for errors in the administration or fulfillment of this Contest, including without limitation mechanical, technological, human, printing, distribution or production errors, and may modify or cancel this Contest based upon such error at its sole discretion without liability. (v) THE  PRIZE  IS  PROVIDED  “AS-IS”  AND  SPONSOR  ENTITIES  MAKE  NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THIS Contest OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE.  (vi) CAUTION: ANY ATTEMPT BY AN ENTRANT TO UNDERMINE THE LEGITIMATE OPERATION OF THIS Contest MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY  SUCH  ENTRANT  TO  THE  FULLEST  EXTENT  OF  THE  LAW,  INCLUDING CRIMINAL PROSECUTION.   

11. DISPUTES; APPLICABLE LAWS AND JURISDICTION. THIS AGREEMENT INCLUDES AN AGREEMENT TO MANDATORY ARBITRATION, WHICH MEANS THAT YOU AND WE AGREE TO SUBMIT ANY DISPUTE RELATED TO THIS AGREEMENT OR THE SERVICES TO BINDING INDIVIDUAL ARBITRATION RATHER THAN PROCEEDING IN COURT. THIS AGREEMENT ALSO INCLUDES A TRIAL BY JURY WAIVER AND CLASS ACTION WAIVER, WHICH MEANS THAT YOU AND WE AGREE TO PROCEED WITH ANY DISPUTE INDIVIDUALLY AND NOT AS PART OF A CLASS ACTION. The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of Texas. THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Sweepstakes, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of Dallas in the State of Texas. All judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys’ fees) associated with participation in this Contest and shall not include any indirect, punitive, incidental and/or consequential damages. The parties agree not to raise the defense of forum non-conveniens. Any dispute must be raised within two (2) years after the date the cause of action arose. Failure to provide the written documentation within this timeframe will render all claims related to the dispute null and void. You further agree not to join in any lawsuit with another person or serve as a class representative of any class action lawsuit against LTK. EACH PARTY TO THIS AGREEMENT ACKNOWLEDGES AND AGREES THAT ANY CONTROVERSY THAT MAY ARISE UNDER THIS AGREEMENT IS LIKELY TO INVOLVE COMPLICATED AND DIFFICULT ISSUES, AND THEREFORE IT IRREVOCABLY AND UNCONDITIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, SUIT OR PROCEEDING (I) ARISING UNDER THIS AGREEMENT OR (II) IN ANY WAY CONNECTED WITH OR RELATED OR INCIDENTAL TO THE DEALINGS OF THE PARTIES HERETO IN RESPECT OF THIS AGREEMENT, IN EACH CASE WHETHER NOW EXISTING OR HEREAFTER ARISING, AND WHETHER IN CONTRACT, TORT, EQUITY, OR OTHERWISE (INCLUDING, FOR THE AVOIDANCE OF DOUBT, ANY SEEKING EQUITABLE RELIEF). EACH PARTY CERTIFIES AND ACKNOWLEDGES THAT (A) NO REPRESENTATIVE, AGENT, OR ATTORNEY OF ANY OTHER PARTY HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT SUCH OTHER PARTY WOULD NOT, IN THE EVENT OF LITIGATION, SEEK TO ENFORCE EITHER OF SUCH WAIVERS, (B) IT UNDERSTANDS AND HAS CONSIDERED THE IMPLICATIONS OF SUCH WAIVERS, AND (C) IT MAKES SUCH WAIVERS VOLUNTARILY.

12. GENERAL TERMS. Sponsor's failure to enforce any term of these Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision of the  Rules is determined to be invalid or otherwise unenforceable, then the Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

13. PRIVACY. Information collected in connection with this Promotion is subject to Sponsor’s privacy policy which can be found at: https://creator.shopltk.com/app/privacy.

14. WINNER’S LIST. For Winner’s name, send a self-addressed stamped envelope to be received by October 31, 2023 to: LTK 2023 Creator Awards Trade Contest, 3102 Oak Lawn Avenue, Suite 900, Dallas, TX 75219. WA and VT residents may omit return postage.

3. HOW TO ENTER.  In order to participate, during the Contest Period, each eligible individual (“you”):

1. Must become a finalist by customer judging: “Customer Judging and Voting Period” is September 14 – September 28, 2023.
2. To qualify as a “Customer Vote” each shopper who wishes to vote for you must favorite five (5) or more of your posts or products in the LTK app. Limit one (1) Customer Vote per Creator follower per eligible participant in the Contest. Whichever nominated creators are within the top three (3) of most customer votes (highest number of shoppers who have favorited at least five (5) products or posts), will become a finalist for this Contest. In the event of a tie, a finalist will be chosen by the Sponsor. Customer Votes received from any person in excess of the stated limitation will be void. Participants, whether LTK Creators or voters, are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, paying for votes, trading votes or offering prizes or other inducements to members of the public, as determined by Sponsor in its sole discretion; all such votes will be void and associated entrants may be disqualified, at Sponsor’s discretion. Use of script, macro or any automated system to vote or with the intent to impair the integrity of the voting process is prohibited and all such votes will be void.
3. REMEMBER: One (1) Unique Customer Vote = Five or more (5+) favorites of your products by a single shopper. Nominees for this award cannot be a current LTK award nominee, or previous LTK award winner, and will be determined by LTK due to their performance as a Creator, as defined by:

1. 70% styled posts year to date on LTK
2. 14,000 or more followers on LTK
3. Creating styled storytelling content
4. Creating video storytelling content
5. Engagement with community
6. Diversity of content across verticals and styles
   1. With the highest weight being given to this category

4. To qualify, content CANNOT include:

1. brand-created images;
2. collages;
3. imagery on a white background; or
4. screenshots of products.

5. Must be selected by an expert LTK expert panel of judges based on skill evidenced by the Winning Judging Criteria: A panel of expert LTK judges will judge the content based on the following judging criteria (weighted equally) and select one (1) Winner. In the event of a tie, an additional tie breaking judge will judge the tied content using the Winning Judging Criteria to determine the winner.

1. Buzzworthy, Trendy, Shareworthy 
2. Quality of Content
1. Product Presentation
2. Creativity and Originality
3. Proper linking and tagging of products in content 
3. Content Diversity Characteristics
1. Age, Race, Gender, Vertical, Size, Demographic, Lifestyle

In the event of a tie, a “tie-breaking” judge will determine the winner based on the Winning Judging Criteria. Judges’ and Sponsor’s decisions are final and binding on all matters relating to this Contest. Judging scores will not be revealed.

4. 4. WINNER SELECTION AND NOTIFICATION.  Potential winner will be notified at 9:00pm CT by email on October 3, 2023 following the in-person final Creator Awards ceremony at LTKCon. If a potential winner is not present or does not appear and respond to LTK when Sponsor tries to notify them or confirm presence to accept the award in person, the winner will still be announced during the final award’s ceremony on stage, with a photo displayed of the winner, and then notified via email following the ceremony they were a “Winner.”
   
   However, if the potential “Winner” does not fulfill all requirements to win per these Official Rules, such potential winner forfeits all rights to win the Contest or receive the prize, and an alternate potential winner may be selected. Upon determining that they have met all eligibility requirements of the Contest, including without limitation the execution of any required waivers, publicity and liability releases and disclaimers, such individual will be declared a “Winner” of the Contest

   If the “Winner” of the Contest is not in person at the final awards ceremony, the LTK Award will be engraved with the Winner’s Name and issued by mail with a confirmed mailing address within thirty (30) days of the event, on or before October 31, 2023.

5. 5. PRIZE DESCRIPTION. The Winner will receive One (1) LTK Award. The details ore set forth below (exact details to be determined by Sponsor):

Except where prohibited: (i) acceptance of a prize constitutes the consent of any Winner, without further compensation, notification or permission, to use the entry, name, and likeness of such Winner for editorial, advertising and publicity purposes by the Sponsor and/or others authorized by the Sponsor in any and all media now or hereafter devised, worldwide in perpetuity; (ii) acceptance of a prize constitutes a release by any Winner of the Sponsor Entities of any and all Claims in connection with the administration of this Contest and the use, misuse, or possession of any prize; (iii) any potential winner may be required to sign an affidavit of eligibility (including social security number) and a liability/publicity release; and (iv) if prize involves travel or activities, any potential winner and travel companion (if applicable) may be required to execute releases of the Sponsor from any and all liability with respect to participation in such travel/activities and/or use of the prize.  Affidavits and releases must be returned within five (5) days from the date that Sponsor first tries to notify the potential winner.
   
   
   
9. DISCLAIMERS. (i) Sponsor Entities are not responsible for lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason, entries, content, Customer Votes, emails, or other communications of any kind.  (ii) Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry or voting process or the operation of the Contest, who is acting in violation of the Official Rules, or who is acting with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person. (iii) Sponsor further reserves the right to cancel, terminate or modify the Contest if it is not capable of completion as planned, including by reason of tampering, undermining the legitimate operation of the Contest by cheating, hacking, deception or any other unfair practices or force majeure and winner will be selected in manner deemed fair and appropriate by Sponsor.  (iv) Sponsor Entities are not responsible for mechanical, technological, human, printing, distribution, production or other errors or problems related to the Contest, including, but not limited to, in connection with the administration or fulfillment of the Contest, the processing of entries, the tabulation of Customer Votes, the functionality of the algorithms involved in the processing or judging of eligible content, in the announcement of the prize, or in any Contest-related materials, and may modify or cancel this Contest based upon such error at its sole discretion without liability. (v) THE  PRIZE  IS  PROVIDED  “AS-IS”  AND  SPONSOR  ENTITIES  MAKE  NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THIS Contest OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE.  (vi) CAUTION: ANY ATTEMPT BY AN ENTRANT TO UNDERMINE THE LEGITIMATE OPERATION OF THIS Contest MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY  SUCH  ENTRANT  TO  THE  FULLEST  EXTENT  OF  THE  LAW,  INCLUDING CRIMINAL PROSECUTION.
   
   
   
10. DISPUTES; APPLICABLE LAWS AND JURISDICTION. THIS AGREEMENT INCLUDES AN AGREEMENT TO MANDATORY ARBITRATION, WHICH MEANS THAT YOU AND WE AGREE TO SUBMIT ANY DISPUTE RELATED TO THIS AGREEMENT OR THE SERVICES TO BINDING INDIVIDUAL ARBITRATION RATHER THAN PROCEEDING IN COURT. THIS AGREEMENT ALSO INCLUDES A TRIAL BY JURY WAIVER AND CLASS ACTION WAIVER, WHICH MEANS THAT YOU AND WE AGREE TO PROCEED WITH ANY DISPUTE INDIVIDUALLY AND NOT AS PART OF A CLASS ACTION. The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Sweepstakes shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of Texas. THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Sweepstakes, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of Dallas in the State of Texas. All judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys’ fees) associated with participation in this Contest and shall not include any indirect, punitive, incidental and/or consequential damages. The parties agree not to raise the defense of forum non-conveniens. Any dispute must be raised within two (2) years after the date the cause of action arose. Failure to provide the written documentation within this timeframe will render all claims related to the dispute null and void. You further agree not to join in any lawsuit with another person or serve as a class representative of any class action lawsuit against LTK. EACH PARTY TO THIS AGREEMENT ACKNOWLEDGES AND AGREES THAT ANY CONTROVERSY THAT MAY ARISE UNDER THIS AGREEMENT IS LIKELY TO INVOLVE COMPLICATED AND DIFFICULT ISSUES, AND THEREFORE IT IRREVOCABLY AND UNCONDITIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO TRIAL BY JURY IN ANY ACTION, SUIT OR PROCEEDING (I) ARISING UNDER THIS AGREEMENT OR (II) IN ANY WAY CONNECTED WITH OR RELATED OR INCIDENTAL TO THE DEALINGS OF THE PARTIES HERETO IN RESPECT OF THIS AGREEMENT, IN EACH CASE WHETHER NOW EXISTING OR HEREAFTER ARISING, AND WHETHER IN CONTRACT, TORT, EQUITY, OR OTHERWISE (INCLUDING, FOR THE AVOIDANCE OF DOUBT, ANY SEEKING EQUITABLE RELIEF). EACH PARTY CERTIFIES AND ACKNOWLEDGES THAT (A) NO REPRESENTATIVE, AGENT, OR ATTORNEY OF ANY OTHER PARTY HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT SUCH OTHER PARTY WOULD NOT, IN THE EVENT OF LITIGATION, SEEK TO ENFORCE EITHER OF SUCH WAIVERS, (B) IT UNDERSTANDS AND HAS CONSIDERED THE IMPLICATIONS OF SUCH WAIVERS, AND (C) IT MAKES SUCH WAIVERS VOLUNTARILY.
    
    
    
11. GENERAL TERMS. Sponsor's failure to enforce any term of these Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision of the  Rules is determined to be invalid or otherwise unenforceable, then the Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
