2024 LTK AWARDS PROGRAM TERMS 

OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA, (I) WHO ARE AT LEAST EIGHTEEN (18) YEARS OF AGE OR OLDER (NINETEEN (19) OR OLDER IN ALABAMA AND NEBRASKA; TWENTY-ONE (21) IN MISSISSIPPI), (II) WHO ARE AN APPROVED LTK CREATOR WHO IS NOTIFIED DIRECTLY BY LTK OF THEIR NOMINATION FOR AN AWARD, (III) IF SELECTED AS A FINALIST, WILL ATTEND THE 2024 LTK CON IN PERSON (EACH, A “NOMINEE”). 

NOMINEES WHO ARE SELECTED AS FINALISTS WHO DO NOT ATTEND THE 2024 LTK CON IN-PERSON WILL NOT BE ELIGIBLE FOR ANY AWARD.

By participating in this LTK 2024 Awards Program (the “Program”), Nominees accept and agree to be bound by these terms (the “Terms”). Any violation of these terms may result in disqualification. All decisions by rewardStyle, Inc. d/b/a LTK (the “LTK”) regarding the Program are final and binding in all respects.

FINALIST DETERMINATION. Nominees must earn a place as a “Finalist” by obtaining Shopper Votes (as defined below) between 12:00 a.m. Eastern Time (“PT”) on August 15, 2024 and 11:59 p.m. ET on August 23, 2024 (“Shopper Judging and Voting Period”).

To qualify as a “Shopper Vote” each shopper who wishes to vote for you must favorite five (5) or more of your posts or products in the LTK app. Any shopper may only submit one (1) Shopper Vote per Nominee. Shoppers can cast Shopper Votes for Nominees in the following categories for the LTK All Star Award or the LTK Rising Star Award: 

• Fashion
• Beauty
• Home
• Family 
• Active; and 
• LTK Community Builder of the Year for Nominees eligible for an LTK Rising Star Award or 
• LTK Creator of the Year for Nominees eligible for an LTK All Star Award

(each, a “Category”). 

Following the conclusion of the Shopper Judging and Voting Period, the three (3) Nominees with the highest number of Shopper Votes in each Category, as determined by LTK, will become Finalists in that Category, for a total of thirty-six (36) Finalists. In the event of a tie in any Category, LTK will select the winner based on a tie-breaking review of the Finalist Criteria. LTK reserves the right to select fewer than three (3) Finalists for any Category if, in its sole discretion, it does have a sufficient number of eligible and qualified Nominees for that Category. Number of votes received for each Nominee will not be revealed. 

Nominees are prohibited from obtaining Shopper Votes by any fraudulent or inappropriate means, including, without limitation, paying for Shopper Votes, trading Shopper Votes or offering prizes or other inducements, as determined by LTK in its sole discretion; all such Shopper Votes will be void and such Nominee may be disqualified, at LTK’s discretion.  Use of script, macro or any automated system to generate Shopper Votes or with the intent to impair the integrity of the voting process is prohibited and all such Shopper Votes will be void and such Nominee may be disqualified, at LTK’s discretion.

REMEMBER: One (1) unique Shopper Vote = five (5) or more favorites of your products by a single shopper.  

Shoppers shall be directed to vote based on the “Finalist Criteria” (weighted equally) outlined below:

   2. Buzzworthy, trendy, shareworthy 
   3. Creativity and originality 
   4. Proper linking and tagging of products in content

3. Growth on LTK Platform 
4. Consistently posts and shares styled content on LTK 
5. Consistently grows followers on LTK 
6. To qualify, content CANNOT include:
   1. Brand-created images
   2. Collages
   3. Imagery on a white background
   4. Screenshots of products

FINALIST NOTIFICATION. Potential Finalists will be notified via email and will have seventy-two (72) hours to respond from the date of notification. Potential Finalists must confirm that they will attend LTK Con, which will be held September 15-17 in Dallas, TX. Finalists understand that except for admission to attend 2024 LTK Con, they are responsible for all costs and expenses associated with attending LTK, including, but not limited to, travel and accommodations.    

Potential Finalists may also be required to execute and return a Liability and Publicity Release within a time period to be stated by LTK. If a potential Finalist does not respond to the initial notification within the time period stated, does return all required documentation, cannot attend 2024 LTK Con, or is otherwise not in compliance with these Terms, such potential Finalist will be disqualified and an alternate Finalist may be notified, time permitting. 

AWARD RECIPIENT DETERMINATION: A total of twelve (12) “Award Recipients,” one for each Category, will be selected by a panel of LTK judges based, among other things, on the following “Winning Judging Criteria”:

AWARDS 

PUBLICITY GRANT. To the extent permitted by law, by accepting an Award, Award Recipient consents to the use by LTK and those authorized by LTK (collectively “Authorized Users”) of such Award Recipient’s entry, name, handles, statements and likeness for any purpose, including on LTK’s social media channels, websites, and in Creator communications, as well as for any other advertising,  promotional and publicity purposes, in any and all media, now or hereafter devised, worldwide in perpetuity, without further compensation, notification or permission. Award Recipient agrees to participate in any  promotional activities related to this, including but not limited to: audio/video recordings of their person, recorded interviews, and providing testimonials related to the  Program. 

LIABILITY RELEASE. By participating the  Program and/or accepting an Award, to the extent permitted by law, each Nominee releases and discharges the LTK and any other party associated with the development, execution, administration or fulfillment of this  Program, as well as any Award suppliers (whether expressly affiliated/authorized, or not), Authorized Parties, and any social media platforms on which the  Program may be advertised, administered or promoted (which may include, but is not limited to, Facebook, Instagram, Twitter, YouTube, TikTok or Snapchat), along with such parties’ parent, subsidiary, and affiliated entities, and each of their respective employees, officers, directors, shareholders, members, contractors, agents, representatives, successors and assigns (collectively, “Released Parties”), from any and all liability whatsoever in connection with this  Program, including without limitation legal claims, costs, injuries, losses or damages, demands or actions of any kind (including without limitation personal injuries, death, damage to, loss or destruction or property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”). Further, to the extent permitted by law, by participating in this Program and accepting an Award (including any travel or activity related thereto).

Entrants further understand and agree that all rights under Section 1542 of the Civil Code of California (“Section 1542”) and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrants acknowledge that Section 1542 provides that: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.” The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

DISCLAIMERS. Void where prohibited. The Program is subject to all applicable state and federal laws and regulations. (i) Released Parties are not responsible for lost, late, misdirected, incorrect, garbled, inaccurate, stolen, delayed, illegible, postage-due, or incomplete Shopper Votes, mail, emails, or other communications of any kind. (ii) LTK, in its sole discretion, reserves the right to disqualify any person tampering with the selection process or the operation of the Program, who is acting in violation of the Terms, or who is acting with the intent to disrupt or undermine the legitimate operation of the  Program, or to annoy, abuse, threaten or harass any other person. (iii) LTK further reserves the right to cancel, terminate or modify (“Change”) the  Program if it is not capable of completion as planned, including by reason of tampering, undermining the legitimate operation of the Program by cheating, hacking, deception or any other unfair practices or force majeure, and LTK reserves the right (but not the obligation) to select Finalists and/or Award Recipients as otherwise deemed fair and appropriate by LTK. (iv) Released Parties are not responsible for mechanical, technological, administration, human, printing, distribution, or production or other errors or problems related to the  Program, including, but not limited to, in connection with the administration or fulfillment of the  Program, the processing or tabulation of Shopper Votes, the functionality of the algorithms involved in the processing or reviewing of eligible Content, in the announcement of the Awards, or in any  Program-related materials. (v) Released Parties are not responsible for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties. (vi) Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the  Program. (vii) Released Parties are not responsible for injury or damage to Nominees' or to any other person's computer or other device related to or resulting from participating in this sweepstakes or downloading materials from or use of the website. (viii) Any attempt by an Nominee to undermine the legitimate operation of this  Program may be a violation of criminal and/or civil laws, and should such an attempt be made, LTK reserves the right to seek remedies and damages (including, without limitation, attorneys’ fees) from any such Nominee to the fullest extent of the law, including criminal prosecution. (ix) This  Program is in no way LTKed, endorsed, administered or affiliated in any way with any social media platform (including without limitation Facebook, Instagram, Twitter, YouTube, TikTok or Snapchat) or with any Award supplier (unless specifically identified as a LTK or co-LTK).

DISPUTES; APPLICABLE LAWS, JURISDICTION, AND LIMITATION OF LIABILITY. The parties waive all rights to trial in any action or proceeding instituted in connection with the  Program, including, without limitation, these Terms. Any controversy or claim arising out of or relating to these Terms and/or the  Program shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of Texas. THESE TERMS AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF TEXAS WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Terms and/or in connection with the participating of any judgment on an arbitration award in connection with these Terms and/or the  Program, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of Dallas in the State of Texas. All judgments or awards shall be limited to actual out-of-pocket damages associated with participation in this  Program, but in no event attorneys’ fees or court costs. Under no circumstances will an Nominee be permitted to obtain awards for, and Nominee hereby waives all rights to claim, any indirect, punitive, incidental and/or consequential damages, and waives any and all rights to have damages multiplied or otherwise increased. The parties agree not to raise the defense of forum non-conveniens.

GENERAL TERMS. LTK’s failure to enforce any term of these Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision of the Rules is determined to be invalid or otherwise unenforceable, then the Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
